Without this FX gift, organic growth in constant currency <a href="https://finance.yahoo.com/markets/stocks/articles/servicenow-nyse-now-beats-q1-202433499.html">actually slowed </a>to <strong>19%</strong>. For a company priced for &#8220;forever growth,&#8221; slipping below the 20% mark, once you strip away the exchange rate fluctuations, is a psychological breaking point for institutional investors.</p><h3>Buying Growth: The $7.75 Billion &#8220;Armis&#8221; Tax</h3><p>The most jarring detail was the acquisition of <strong>Armis for $7.75 billion in cash</strong>. This is a defensive move of massive proportions. Management admitted that Armis (and new AI capabilities) will contribute roughly <strong>125 basis points</strong> to the full-year growth.</p><p>Essentially, ServiceNow is &#8220;buying&#8221; its growth numbers to keep them above 20%. But this growth comes at a steep price:</p><ul><li><p><strong>Operating Margin:</strong> Integration is expected to drag margins down by <strong>75 bps</strong>.</p></li><li><p><strong>Free Cash Flow:</strong> FCF margin is hit by <strong>200 bps</strong>.</p></li><li><p><strong>Q2 Outlook:</strong> Operating margins are projected to drop to <strong>26.5%</strong>, a significant decline year-over-year.</p></li></ul><h3>The &#8220;Devil in the Details&#8221;: The SBC Racket</h3><p>While a forward non-GAAP P/E of 24x after 70x+ might seem to align with industry standards, <strong>the devil, as they say, is in the details</strong>. The company spent <strong>$570 million on Share-Based Compensation (SBC)</strong> this quarter alone. Essentially, every sixth dollar earned goes toward employee bonuses. That&#8217;s roughly $2 billion a year.</p><p>It is important to realize that if these metrics were not constantly sanitized via non-GAAP adjustments, adjustments that exclude these massive SBC costs, the valuation multiples would not look reasonable. They would still look exceptionally bloated.</p><p>And when the company touts &#8220;share buybacks,&#8221; they aren&#8217;t returning value to shareholders, they are merely reducing the number of shares in circulation because they had to print new shares for SBC.</p><p>In the past, when revenue grew at 25%+, investors turned a blind eye to this dilution. Those days are over. Companies will now have to slash SBC or conduct massive layoffs, as Oracle has already done. This &#8220;shareholder tax&#8221; must end, or be paid in actual cash, which would further tank FCF.</p><h3>The RPO Paradox</h3><p>One &#8220;bright&#8221; spot was the <strong>Remaining Performance Obligations (RPO)</strong>, which reached $27.7 billion. However, even this was distorted by <strong>200 bps of currency tailwinds</strong>. Furthermore, the company admitted to a <strong>75 bps headwind</strong> from deal delays in the Middle East. When a giant like ServiceNow starts citing geopolitical &#8220;deal delays,&#8221; it usually suggests that the sales cycle for expensive SaaS is lengthening across the board.</p><div Analysts are no longer slapping 50x multiples on SaaS companies just because they grow at 20%. The emergence of <strong>OpenAI and Anthropic</strong> - who are already reporting revenues that rival established leaders - has changed the game.</p><p>If you want to see the terminal stage of this lack of focus, look no further than <strong>IBM</strong>. It stands as the most egregious example of corporate inefficiency in the sector. Growing at a pathetic 4-5% a year, <span class="cashtag-wrap" data-attrs="{&quot;symbol&quot;:&quot;$IBM&quot;}" data-component-name="CashtagToDOM"></span> is a &#8220;zombie&#8221; weighed down by a bloated consulting arm that acts as a structural anchor. They have failed to define a clear &#8220;moat&#8221; in the AI era, and their existence serves only as a cautionary tale: this is what happens when a tech leader stops innovating and starts merely &#8220;managing decline.&#8221;</p><p>Unless companies like ServiceNow undergo radical transformation, cutting bloated SBC and trimming the fat, they risk following the same path.</p><p><em>Bottom-fishing in SaaS remains a low-probability trade. According to TD Cowen, these cuts target $8B to $10B in annual savings. </p><p>But does this strategy actually move the needle?</p><p>To put this into perspective: according to the latest filings, <span class="cashtag-wrap" data-attrs="{&quot;symbol&quot;:&quot;$ORCL&quot;}" data-component-name="CashtagToDOM"></span> is burdened with <strong>$165 billion</strong> in total long-term liabilities. Even a $10 billion cost-cutting program fails to address even 10% of that debt mountain.</p><p>The company has maintained its characteristic lack of transparency, declining to comment on the restructuring. However, TD Cowen analysts suggest the primary target is the Healthcare division, a unit Oracle acquired for $28 billion that has yet to deliver, as major clients reportedly migrate to competitors like Epic.</p><p>With the stock having surrendered nearly half of its peak market capitalization, we need to determine if Oracle is a deep-value play or if the market offers better risk-adjusted alternatives. This is a massive failure of Investor Relations. The company has failed to articulate the reality that it is no longer a software firm, it is undergoing a desperate, high-stakes structural pivot.</p><p>The transformation is as dramatic as it is existential: Oracle is being forced to abandon its software roots to survive an era where Anthropic and other AI pioneers are making traditional enterprise code obsolete. They aren&#8217;t just changing; they are fleeing a dying industry.</p><h4>David vs. Goliath: A Fight Oracle Can&#8217;t Outspend</h4><p>The shift in Oracle&#8217;s financial engineering is nothing short of drastic. For the past decade, the company was an ATM for its shareholders, deploying <strong>$123 billion toward share buybacks</strong>. Today, that trend has inverted. To fuel its massive AI infrastructure ambitions, Oracle has pivoted to a <strong>$20 billion ATM equity offering</strong>, a move that directly dilutes shareholders and pressures future EPS.</p><p>The scale of this &#8216;all-in&#8217; bet becomes clear when compared to the industry titans. While Google Cloud&#8217;s quarterly revenue of <strong>$17.66 billion</strong> matches the entirety of Oracle&#8217;s top line, the financial breathing room between the two is vast. As shown in the data, Google maintains a disciplined <strong>22.7% CapEx-to-revenue ratio</strong>, funding its expansion through its massive operational cash engine. In contrast, Oracle is operating at a breakneck <strong>75% ratio</strong>.</p><p>By spending three-quarters of its total revenue on Capital Expenditures, Oracle has effectively traded its status as a reliable dividend-and-buyback play for a high-stakes seat at the AI table. It is competing with Big Tech resources it simply doesn&#8217;t have on the balance sheet, forcing a total overhaul of its fiscal policy to keep pace in a race where the entry fee has never been It all started with an article in <em>The Information</em> <a href="https://www.theinformation.com/articles/oracle-assures-investors-ai-cloud-margins-struggles-profit-older-nvidia-chips">claiming</a> that Oracle&#8217;s margins were under pressure due to the use of older NVIDIA chips. This was followed by reports suggesting that OpenAI might not be able to fulfill all of its commitments related to building data centers.</p><h3>The Moment the Market Lost Its Tolerance for Error</h3><p>Oracle&#8217;s tens of billions of dollars in debt led investment banks to question whether the company would be able to service its obligations if OpenAI failed to finance the data centers. The resulting doom and gloom meant that even a routine change of a financing partner caused the stock to drop by 5%, something that previously would not have attracted any attention.</p><p>I spent a long time thinking about who would benefit from leaking information about Oracle&#8217;s margins. At first, I thought this could be an attempt to secure discounts from NVIDIA. But then other reports began to surface suggesting that OpenAI itself might fail to meet its <a href="https://www.ft.com/content/23e54a28-6f63-4533-ab96-3756d9c88bad">obligations</a> to Oracle, even though compute capacity is exactly what is needed most right now. Sam Altman himself recently said that this is precisely what is constraining monetization.</p><p>OpenAI&#8217;s problems became the trigger for this entire situation. A routine delay in a CoreWeave data center <a href="https://www.wsj.com/tech/ai/coreweave-stock-market-ai-bubble-a3c8c321">construction</a>, a company that the market widely views as a proxy for NVIDIA  led to a collapse in the stock after earnings. After that, other NeoClouds lost their right to make mistakes, and everything they did suddenly started to be perceived through a negative lens.</p><p>Ordinary capital-raising rounds or debt placements began to be seen as signs of weakness, and deals with hyperscalers started to be questioned.</p><h3>Zooming Out: When Markets Spill Into Politics</h3><p>On the other hand, let&#8217;s zoom out. Then we can see the effect that doom and gloom has had on political life, and in that context some leaks begin to look less strange. That&#8217;s where the story stops being purely economic.</p>

And everything related to generating and transmitting electricity got packaged into a new company called GE Vernova.</p><p>Twenty months of trading later, in December 2025, the stock sits at $671. It started trading at $136. That&#8217;s a nearly 400% return in less than two years. Market cap around $180 billion.</p><p>GE Vernova is three very different businesses operating under one roof. One prints cash. One is growing explosively. segment. In Q3 2025, it did $4.8 billion in revenue, up 15% year-over-year, with $645 million in EBITDA (13.3% margins, up from 11.9% a year ago). This is primarily gas turbines for power plants. Think massive machines the size of a house that cost $30-50 million each and can power a city of 500,000 people. They also make nuclear, hydro, and steam equipment, but gas is the star. More importantly, about $3.1 billion of that $4.8 billion quarterly revenue comes from services, meaning ongoing maintenance, parts, and upgrades for the existing installed base. This is the cash cow.</p><p><strong>Wind</strong> did $2.6 billion in revenue in Q3, down 8% year-over-year. This includes onshore wind turbines, offshore wind turbines, and blades through their LM Wind Power subsidiary. Here&#8217;s the problem: this segment lost $61 million in Q3 2025. That&#8217;s actually an improvement from the $317 million loss in Q3 2024, but they&#8217;re still not profitable. The offshore wind business continues to book incremental contract losses, $296 million in Q3 alone, as projects run over budget and timelines slip. Onshore wind is modestly profitable but facing soft orders due to policy uncertainty in the US market.</p><p><strong>Electrification</strong> is the growth story. Q3 revenue of $2.6 billion, up 35% year-over-year. This segment makes transformers, switchgear, high-voltage DC transmission systems, grid software, and battery storage solutions. Basically everything needed to move electricity from point A to point B and manage the grid. EBITDA hit $393 million in the quarter (15.1% margins), nearly double the $201 million a year ago. The backlog has quadrupled since the end of 2022 to around $30 billion. Demand is exploding because the grid needs massive upgrades to handle renewables integration, AI data centers, and general electrification.</p>

Both paths are viable, but they reflect different views of risk, capital intensity, and the durability of the AI boom. These debates show where the industry is heading and what investors fear most: the risk that buildout moves faster than demand, or that capital is deployed into assets that saturate before they generate returns.</p><p>Miners did not disappear. They adapted to the incentives of the moment. Their speed of construction, access to cheap power, and presence in markets like West Texas allowed them to pivot into a role that traditional operators were too slow to fill. and compute economy. Demand for electricity from AI data centers is growing much faster than the U.S. grid can expand. Morgan Stanley estimates a possible 13 to 44 gigawatt shortfall by 2028, equal to the energy use of more than 33 million American homes, if new capacity is not added quickly. Analysts describe AI load growth as non-linear. The grid is struggling to keep up.</p><p>This pressure explains why the first wave of companies that moved into large-scale Texas development were not traditional data center operators. It was the Bitcoin miners. Firms like IREN, Cipher Mining, Core Scientific, Riot, and Marathon realized earlier than anyone else that power availability was about to become the defining constraint. They entered West Texas long before hyperscalers because their business model depended on two things the region could deliver better than any other part of the United States: abundant energy and fast interconnection paths.</p><p>Bitcoin miners went to Texas for structural reasons:</p><p>&#8226; They needed cheap, scalable power for high-density workloads.<br>&#8226; They were willing to build in remote locations where traditional developers refused to go.<br>&#8226; They could tolerate volatility because their machines can turn on and off instantly.<br>&#8226; They understood that ERCOT rewards flexible, interruptible load far more than guaranteed uptime.<br>&#8226; They were able to monetize price spikes by curtailing and selling power back into the market.</p><p><strong>These companies effectively became the early pioneers of large flexible load development. They acquired land next to substations. They built high-capacity transmission connections. They learned ERCOT&#8217;s operating rules before the AI boom made the region crowded. By the time hyperscalers entered Texas, miners already controlled some of the best interconnection positions in the state.</strong></p><p>Texas built its own electric system called ERCOT, and its structure is the reason miners and AI compute companies choose it over every other region.</p><p>How ERCOT works:</p><p>&#8226; Independent grid. <a href="https://www.ercot.com">ERCOT</a> is not part of the federal interstate grid, so projects avoid long federal approval timelines.<br>&#8226; Real-time pricing. Power prices move every five minutes, allowing large loads to optimize or curtail based on conditions.<br>&#8226; Day-ahead market. Operators can hedge and model their power costs more precisely.<br>&#8226; Large flexible loads. ERCOT welcomes big interruptible customers, which matches perfectly with mining operations.<br>&#8226; Fast interconnection. ERCOT is faster at approving load than PJM, MISO, CAISO, or NYISO.<br>&#8226; High renewable penetration. Texas produces massive amounts of wind and solar, creating cheap off-peak power windows.<br>&#8226; Curtailment revenue. Operators can shut down during peak pricing and sell back power to the grid, generating profit instead of absorbing losses.</p><p>But ERCOT alone is not enough.
